BYLAWS
The
The name of this organization shall be the Bluegrass Chapter of the Kentucky
Association of Medical Staff Services.
Section 2: The objectives of
this organization shall be to:
The objectives of the chapter shall model the State Association.
To provide the opportunity for continuing education, to promote the
improvement of professional knowledge and skills by uniting persons who are
engaged in medical staff activity, credentialing/verification, and healthcare
activities through this chapter and state association, and to support the
mission of the National Association of Medical Staff Services

The chapter’s structure, membership and dues shall be in accordance with the

Members of this local chapter shall apply for membership to

Based on the payment of dues to
A. The officers of this
chapter shall be the President, President-elect, Secretary, and Immediate Past
President, who shall serve as the Chapter Board of Directors.
The Chapter President shall serve as a member of the
B. A candidate for
office must be a member in good standing of the Chapter and must be an Active
member of the Kentucky Association of Medical Staff Services.
It is recommended that candidates for Officers have certification (CMSC
or CPCS) or a minimum of 3 years experience in activities described in the
Active membership section of the
C. Election of
officers shall be held annually each January.
Nominations for officers must be submitted by November 30th
for the upcoming year. Terms of office shall be one year.

Election shall be by a simple majority.
E.
Elected officers shall assume office at the close of the Annual meeting.
F.
Vacancies in office may be appointed by the Board for the remainder of the
unexpired
term, with the exception of the President-Elect, which will require a vote by
simple majority.
G.
Removal of a chapter officer shall be initiated by petition of an active
member in writing to the Chapter Board of Directors.
An adverse recommnedation must
be
approved by a two-thirds vote of all active chapter members by written ballot.
A.
President:
The President shall be the Chief Executive Officer of the organization and shall
preside at all meetings and serve as Chairman of the Board of the chapter. It
shall be the President’s duty to supervise the activities of the Chapter, to
present a report at the Annual Meeting and to perform such other duties as
authorized by the Board. The President of the Chapter shall submit a roster of
its members on an annual basis to the Kentucky Association of Medical Staff
Services. The President shall also serve as a member of the Board of Directors
for the Kentucky Association of Medical Staff Services.
B.
President-Elect:
The President-Elect shall act for the President in her/his absence and at the
direction of the President. The President-Elect shall automatically succeed the
President at the time of election of officers at the Annual Meeting.
The President-Elect shall work directly with the State association
President-Elect to assist in obtaining continuing education credit approval from
NAMSS for chapter meetings.

Secretary:
The Secretary shall keep accurate minutes of all meetings of the organization
and shall forward all chapter meeting minutes to

Immediate Past President:
The duties of the Immediate Past President shall be to act as consultant to the
Lexington Chapter Board and to assume the duties and authorities of the chapter
President-Elect in the absence of the President-Elect.

Chapter Board:
The Chapter Board shall meet as necessary. The Board may act on any matters for
the Chapter except amendments to the Bylaws. Such action shall be forwarded to
the

Meetings of the Chapter shall be held at dates and times established by the
membership. Location will vary
based on host/hostess and availability.
B.
Host/Hostess of Chapter meetings shall abide by the
Meeting Guidelines, Attachment A of
C.
The chapter shall schedule an Annual Meeting, each January, for the purpose of
election of officers, receiving reports of officers and committees, and any
other business that may arise.
D.
Special meetings may be called by the President, the Board, or at the request of
at least four (4) members of the Chapter. The purpose of the meeting shall be
stated in the call.
A quorum at any Chapter meeting shall be five (5) active members present who are in good standing.
Section 8:
Committees
Standing and special committees may be appointed as the need may arise. The
President shall be an ex-officio member of all committees.
Section 9: Membership Year
The membership year of this organization shall be January 1 through December 31.
Section 10: Bylaw Amendments
The Bylaws shall be amended by a simple majority at any regular meeting of this
organization. Amendments shall be

Parliamentary authority shall be according to Robert’s Rules of Order, Newly
Revised.
