BYLAWS

The SOUTHERN CHAPTER of the

Kentucky Association of Medical Staff Services

 

 

Section 1:        Name

 

The name of this organization shall be the Southern Chapter of the Kentucky Association of Medical Staff Services (KAMSS).

 

Section 2:        The objectives of this organization

 

The objectives of the Chapter shall model the State Association, to provide the opportunity for continuing education, to promote the improvement of professional knowledge and skills by uniting persons who are engaged in medical staff activity, credentialing/verification, and healthcare activities through this Chapter and state association, and to support the mission of the National Association of Medical Staff Services (NAMSS).

 

Section 3:        Structure, Membership and Dues

 

A.                 The Chapter’s structure, membership and dues shall be in accordance with the KAMSS Bylaws and the Chapter will be run in accordance with the State Bylaws.

 

B.                 Members of this local Chapter shall apply for membership to KAMSS and pay dues to KAMSS as stated in Article V. of the KAMSS Bylaws.

 

C.                 Based on the payment of dues to KAMSS, financial assistance deemed necessary by the Chapter Board of Directors will be requested through KAMSS.

 

Section 4:        Officers

 

A.                 The officers of this Chapter shall be the President, President-Elect, Secretary and Immediate Past President, who shall serve as the Chapter Board of Directors.  The Chapter President shall serve as a Member of the KAMSS Board of Directors.

 

B.                 A candidate for office must be a Member in good standing of the Chapter and must be an Active Member of the Kentucky Association of Medical Staff Services.  It is recommended that candidates for Officers have certification (CPMSM [formerly CMSC] or CPCS) or a minimum of 3 years experience in activities described in the Active membership section of the KAMSS Bylaws.

 

C.                 Election of officers shall be held annually each November for the coming year.  Nominations for officers must be submitted by August 1st for the upcoming year.  Terms of office shall be one year.

 

D.                 Election shall be by a simple majority.

 

E.                  Elected officers shall assume office on January 1.

 

F.                  Vacancies in office may be appointed by the Board for the remainder of the unexpired term, with the exception of the President-Elect, which will require a vote by simple majority.

 

G.                 Removal of a Chapter officer shall be initiated by petition of an active member in writing to the Chapter Board of Directors.  An adverse recommendation must be approved by a two-thirds vote of all active Chapter members by written ballot.

 

Section 5:        Duties of the Officers and the Board

 

A.                 President:  The President shall be the Chief Executive Officer of the organization and shall preside at all meetings and serve as Chairman of the Board of the Chapter.  It shall be the President’s duty to supervise the activities of the Chapter, to present a report at the Annual Meeting and to perform such other duties as authorized by the Board.  The President of the Chapter shall submit a roster of

its members on an annual basis to the Kentucky Association of Medical Staff

Services.  The President shall also serve as a member of the Board of Directors

for the Kentucky Association of Medical Staff Services.

 

B.                 President-Elect:  The President-Elect shall act for the President in her/his absence and at the direction of the President.  The President-Elect shall automatically succeed the President at the time of election of officers at the Annual Meeting.  The President-Elect shall work directly with the State Association President-Elect to assist in obtaining continuing education credit approval from NAMSS for Chapter meetings.

 

C.                 Secretary:  The Secretary shall keep accurate minutes of all meetings of the organization and shall forward all Chapter meeting minutes to KAMSS.  The Secretary shall notify the KAMSS webmaster of upcoming Chapter meeting information to be posted on the website.

 

D.                 Immediate Past President:  The duties of the Immediate Past President shall be to act as consultant to the Southern Chapter Board and to assume the duties and authorities of the Chapter President-Elect in the absence of the President-Elect.

 

E.                  Chapter Board:  The Chapter Board shall meet as necessary.  The Board may act on any matters for the Chapter except amendments to the Bylaws.  Such action shall be forwarded to the KAMSS Board for final approval.

 

Section 6:        Meetings

 

A.                 Meetings of the Chapter shall be held quarterly (routinely at 5:00 p.m. on the second Thursday of February, May, August, November with dates subject to change as necessary).  Location will vary based on host/hostess and availability.

 

B.                 Host/Hostess of Chapter meetings shall abide by the Meeting Guidelines, Attachment A of KAMSS Bylaws.  Meeting information shall be forwarded to the KAMSS webmaster by the Chapter secretary for posting on the KAMSS website.

 

C.                 The Chapter shall schedule an Annual Meeting, each November, for the purpose of election of officers, receiving reports of officers and committees, and any other business that may arise.

 

D.                 Special meetings may be called by the President, the Board, or at the request of at least four (4) members of the Chapter.  The purpose of the meeting shall be stated in the call.

 

Section 7:        Quorum

 

A quorum at any Chapter meeting shall be five (5) active members present who are in good standing.

 

Section 8:        Committees

 

Standing and special committees may be appointed as the need may arise.  The President shall be an ex-officio member of all committees.

 

Section 9:        Membership Year

 

The membership year of this organization shall be January 1 through December 31.

 

Section 10:      Bylaws Amendments

 

The Bylaws shall be amended by a simple majority at any regular meeting of this organization.  Amendments shall be forwarded to the KAMSS Board of Directors for final approval.

 

Section 11:      Parliamentary Authority

 

Parliamentary authority shall be according to Robert’s Rules of Order, New Revised.
